In the decision, the court shall approve the terms of reorganization of the debtor legal entity agreed by creditors, sanatoriums and the debtor in the case provided for in part two of this article. The Commercial Court declares the debtor bankrupt in the absence of proposals for reorganization or disagreement of creditors with the terms of reorganization of the debtor. The court shall issue a decision to declare the debtor bankrupt.
The resolution appoints liquidators from among the representatives of the meeting of creditors, banks, financial authorities, as well as the State (Municipal) Property Fund, if the state enterprise or organization is declared bankrupt. Liquidators are responsible for satisfying creditors’ claims.
The procedure for declaring a company bankrupt and the mechanism of distribution of the bankruptcy estate
Copies of the decision to declare the debtor bankrupt are sent:
the founder of a bankrupt legal entity; the owner of the bankrupt’s property or the body authorized by him; bank whose client is bankrupt; National Bank of Ukraine (if the bank is bankrupt); The Ministry of Foreign Economic Relations of Ukraine (if the bankrupt is registered as a participant in foreign economic activity); the body that registered the bankrupt as a business entity; the state employment service at the legal address of the bankrupt; relevant trade union bodies; the prosecutor’s office (if the case file gives grounds to consider bankruptcy intentional).
From the moment the debtor is declared bankrupt:
the debtor’s business activity is terminated; the right write my lab report online review to dispose of the bankrupt’s property and all his property rights and obligations passes to the liquidation commission; the terms of all debt obligations of the bankrupt are considered expired; the accrual of interest and interest on all types of debts of the bankrupt ceases.
The court, at the request of the prosecutor’s office, at the request of the debtor, property manager or creditors, may: invalidate any agreement on the sale of property made within three months before the bankruptcy proceedings, if it is made in the interests of the debtor; declare invalid any agreement of the debtor to sell the property or the latter to assume obligations within one year before the commencement of bankruptcy proceedings, if the sale of property was made for the purpose of concealing this property or non-payment of debts, if the debtor received much less than the actual price of the transaction (property), as well as if the debtor at the time of the transaction was actually insolvent or became insolvent as a result of this agreement.
Proceeds from the sale of the bankrupt’s property are used to satisfy creditors’ claims.
First, the following are satisfied:
a) claims secured by collateral;
b) payment of severance pay to dismissed employees of the bankrupt, including reimbursement of the loan obtained for these purposes;
c) costs related to the bankruptcy proceedings in the arbitral tribunal and the work of the liquidation commission, including:
the cost of paying state duties; the costs of the applicant for the publication of the announcement of the initiation of bankruptcy proceedings; the cost of publishing in the official press information on the sale of property of the bankrupt; costs of publication in the media about the resumption of bankruptcy proceedings in connection with the recognition of the settlement agreement invalid; expenses of the manager (property manager, reorganization manager, liquidator) related to the maintenance and preservation of the bankrupt’s property assets; creditors’ costs for the audit, if the audit was conducted by the arbitral tribunal at their expense; labor costs of arbitration managers (property manager, reorganization manager, liquidator) in the manner prescribed by Article 27 of this Law.
Secondly, the requirements arising from the obligations of the bankrupt to the employees of the bankrupt enterprise (except for the return of contributions of members of the labor collective to the statutory fund of the enterprise), obligations arising from harm to life and health of citizens by capitalization relevant payments in the manner prescribed by the Cabinet of Ministers of Ukraine, as well as claims of citizens to creditors (depositors) of trust companies or other business entities that have attracted the property (funds) of principals (depositors).
Third, the requirements for the payment of taxes and fees (mandatory payments) are met.
Fourth, creditors ‘claims not secured by collateral are satisfied, including creditors’ claims arising from obligations in the debtor’s property disposal procedure or in the debtor’s reorganization procedure.
Fifth, the requirements for the return of contributions of members of the workforce to the statutory fund of the enterprise are met.
Sixth, other requirements are met.
The requirements of each subsequent queue are satisfied as the receipt of funds from the sale of the bankrupt’s property after full satisfaction of the requirements of the previous queue.
In case of insufficiency of the means received from sale of property of the bankrupt, for full satisfaction of all requirements of one turn claims are satisfied in proportion to the sum of the claims belonging to each creditor of one turn.
In case of refusal of the creditor from satisfaction of the claim recognized in accordance with the established procedure, the liquidation commission does not take into account the amount of monetary claims of this creditor.
